1. INTRODUCTION AND ACCEPTANCE
These Terms and Conditions (hereinafter, "the Terms") govern the professional relationship between afm creative studio, owned and operated by Ana Fernandez Martin (NIF: 76441852H), with registered address at Calle Marqués de Falces 1, 1A, and reachable at hello@anafmartin.com (hereinafter, "the Studio"), and any individual or legal entity (hereinafter, "the Client") who engages the Studio's services.
By signing a proposal, contract, or any written agreement with the Studio — or by making a payment toward a project — the Client acknowledges having read, understood, and agreed to these Terms in full.
These Terms apply to all services provided by afm creative studio, including but not limited to brand design, web design, and social media strategy.
2. SERVICES
afm creative studio offers the following professional services:
Brand Design: development of visual identity systems, including logo design, color palettes, typography selection, brand guidelines, and associated brand assets.
Web Design: design and visual development of websites, including layout, user interface, and the delivery of design files or built web pages as agreed in the project proposal.
Social Media Strategy: development of strategic plans for social media presence, including content planning, brand voice guidelines, platform strategy, and related deliverables.
The specific scope, deliverables, timeline, and fees for each project will be defined in a written proposal or contract agreed upon by both parties prior to the commencement of any work.
Any services not explicitly included in the agreed proposal are considered out of scope and will be quoted and billed separately.
3. PROJECT PROCESS
3.1 Project Initiation A project officially begins once the Client has signed the proposal or contract and made the initial payment as described in Section 4. No work will commence prior to receipt of both.
3.2 Client Responsibilities The Client agrees to provide all content, materials, feedback, and information required by the Studio in a timely manner. Delays caused by the Client — including late provision of materials or feedback — may result in an adjustment to the agreed timeline, at the Studio's discretion, without affecting the payment schedule.
3.3 Timelines Project timelines are outlined in the individual proposal. Timelines are estimates based on the information available at the time of quoting and assume the Client's timely cooperation. The Studio will communicate proactively if any delays arise on its end.
3.4 Communication All project communication shall take place via email or the communication channel agreed upon at the start of the project. The Studio's standard response time is 1–2 business days.
4. PAYMENT TERMS
4.1 Payment Schedule All projects are subject to the following payment structure:
50% deposit — due before the project begins. This payment is required to reserve the Studio's time and officially initiate the project.
50% final payment — due upon delivery of final files or agreed project deliverables, prior to the Client receiving access to said files.
4.2 Non-Refundable Deposit The initial 50% deposit is strictly non-refundable under any circumstances. It compensates the Studio for time reserved, preliminary research, and any preparatory work carried out.
4.3 Payment Methods and Currency All prices displayed on the Studio's website are listed in Euros (EUR) as the default reference currency. However, invoices will be issued in the Client's local currency where applicable, as agreed upon in the project proposal. Exchange rates will be applied at the time of invoicing. Payment method and bank or platform details will be specified in the relevant invoice.
4.4 Late Payments If the final payment is not received within 14 days of the due date, the Studio reserves the right to withhold delivery of final files and/or suspend ongoing work until the outstanding balance is settled. Continued delays beyond 30 days may result in project cancellation, in which case the deposit remains non-refundable and any completed work becomes the property of the Studio.
5. REVISIONS
5.1 Included Revisions Each project includes one (1) round of revisions unless otherwise stated in the proposal. A revision round is defined as a single consolidated set of feedback submitted by the Client following the presentation of a deliverable. The Studio will incorporate all reasonable feedback within the agreed scope.
5.2 Revision Process The Client is expected to review deliverables carefully and consolidate all feedback into a single communication. Feedback submitted piecemeal or after the revision round has been submitted may be treated as an additional round.
5.3 Additional Revisions Any revisions beyond the included round will be charged at the Studio's current hourly or flat rate, which will be communicated to the Client in advance of the additional work being carried out.
5.4 Scope of Revisions Revisions are understood to be refinements of the approved direction. Requests for a fundamentally different creative direction following concept approval will be treated as new work and quoted accordingly.
6. INTELLECTUAL PROPERTY AND OWNERSHIP
6.1 Ownership During the Project All creative work, concepts, designs, and deliverables produced by afm creative studio during a project remain the exclusive intellectual property of the Studio until full payment has been received.
6.2 Transfer of Ownership Upon receipt of the final payment, the Studio grants the Client full ownership and usage rights to the agreed final deliverables. This transfer includes the right to use, reproduce, and modify the final files for the Client's business purposes.
6.3 Portfolio Rights The Studio reserves the right to display any completed work in its portfolio, website, social media channels, and other promotional materials, unless the Client requests confidentiality in writing prior to the project's conclusion.
6.4 Third-Party Assets Where stock imagery, fonts, icons, or other third-party assets are incorporated into deliverables, it is the Client's responsibility to ensure they hold the appropriate licenses for their intended use. The Studio will advise on licensing requirements where applicable.
6.5 Preliminary Work Any concepts, drafts, or preliminary designs not selected by the Client remain the property of the Studio and may not be used without separate written agreement.
7. CANCELLATION AND TERMINATION
7.1 Cancellation by the Client The Client may cancel a project at any time by providing written notice to the Studio. In the event of cancellation:
The initial 50% deposit is non-refundable in all cases.
If work beyond the initial phase has been completed, the Client shall pay for work completed to date, calculated on a pro-rata basis, in addition to the non-refundable deposit.
Final files will not be delivered until any outstanding balance is settled.
7.2 Cancellation by the Studio The Studio reserves the right to terminate a project in the event of: non-payment; failure by the Client to provide necessary materials or feedback within a reasonable timeframe; or conduct that is abusive or unreasonable. In such cases, any deposit paid will be retained by the Studio as compensation for work completed, and no further deliverables will be provided.
7.3 Project Pause If a project is paused by the Client for more than 30 days without prior written agreement, the Studio reserves the right to close the project. Restarting the project may be subject to a re-scheduling fee.
8. CONFIDENTIALITY
Both parties agree to treat as confidential any sensitive business information shared during the course of the project. The Studio will not disclose the Client's proprietary information to third parties without prior written consent, except where required by law.
9. LIMITATION OF LIABILITY
afm creative studio shall not be liable for any indirect, incidental, or consequential damages arising from the use of deliverables or from delays caused by circumstances beyond its control (including, but not limited to, illness, technical failures, or third-party platform issues).
The Studio's total liability in connection with any project shall not exceed the total fees paid by the Client for that specific project.
10. GOVERNING LAW AND JURISDICTION
These Terms are governed by Spanish law. For Clients based in Spain, any disputes shall be submitted to the courts of Granada, Spain. For international Clients, the parties agree to attempt to resolve any disputes amicably before pursuing formal legal action.
11. CHANGES TO THESE TERMS
afm creative studio reserves the right to update or modify these Terms at any time. The version in force at the time a proposal or contract is signed shall govern that specific project. Clients are encouraged to review the current Terms on the Website prior to entering into a new agreement.
